Buccleuch House, Hackney, London
Hanover in Hackney Ltd was set up as a subsidiary of the Hanover Housing Group following the transfer of nearly 1,000 homes from the local authority. The Associations’ primary mission is to ensure the older people of the Borough of Hackney gain access to appropriate affordable housing.
Peter Johnson, Simon Wade and Anna Rabin acted for Hanover In Hackney Ltd entering into a Development Agreement for the redevelopment of Buccleuch House in Hackney, London, a scheme being developed for both sale and rental purposes. The scheme involves the demolition of existing buildings on site and the construction of 106 residential apartments, including 12 affordable residential units, and a 46 bed Extracare Scheme.
Peter dealt with the overall contractual arrangements with the proposed developer, Simon dealt with all the title and related issues affecting the site where the freehold is divided between Hanover in Hackney and its developer and where further lease arrangements have been put in to place in respect of parts of the site. Anna dealt with the construction aspects of the scheme which involved settling the construction obligations in the development agreement and negotiating the forms of building contract, professional appointments and all associated warranties to be used by the developer with its contractor and consultants.
New Endoscopy Centre at Celtic Springs, Wales
Community Healthcare Investments Limited is working with the Nucleus Healthcare group on the roll out of a series of Gastro-enterology and specialist centres of excellence across the UK. The concept is to move specialist services out of the traditional acute hospital setting into more suitable purpose-built facilities in the community providing state of the art services to both NHS and private patients.
Clive Whitfield-Jones and Anna Rabin acted for LR Healthcare Limited (a joint venture company between Community Healthcare Investments Limited and London & Regional Properties Limited) which is forward funding a £7 million project in connection with the endoscopy centre at Celtic Springs business park in Wales, which is the first such centre and is due for completion in mid-December. The facility is operated by a group of specialist consultants and will provide a variety of high-tech procedures and diagnostics.
The project will be developed in two phases. Phase 1 of the building is approximately 26,000 square feet, built over 2 floors and will provide 15 en-suite bedrooms, 2 endoscopy suites and 2 operating theatres. Phase 2 will allow the facility to effectively double in size according to future demand.
Clive dealt with a range of complex land and title issues in a transaction which will see LR Healthcare Limited being the long-term landowner and landlord of the site. Clive also dealt with the Agreement for Lease between LR Healthcare Limited and its tenant. Anna dealt with all the construction issues which involved negotiating the Development Agreement with the developer, assisting Clive with construction aspects of the Agreement for Lease and approving the form of Building Contract, Professional Team Appointments and the Warranties to be taken up in favour of LR Healthcare Limited and its tenant.
Advising developers on “green issues” at petrol station site
Increasingly the onus is on developers and contractors to be aware of the green issues inevitably arising from property construction and developments. Navigating the many legislative and regulatory provisions can be difficult and requires well-structured multi-disciplinary legal advice. Jeffrey Green Russell advised clients in an extremely sensitive acquisition of a substantial petrol station site. The transaction raised numerous and complex issues relating to hazardous substances and emissions and required sensitivity to local concerns alongside the clients’ own commercial requirements. The acquisition was one of a number of cases being handled by the Commercial Property Group where a sound knowledge of environmental regulations was critical to the successful completion of the transaction.
Science Park development in Birmingham
Jeffrey Green Russell was involved in the evolution of one of the UK’s most innovative Science Park developments in Birmingham. Science Parks are now recognised as key components in the national strategy to encourage entrepreneurialism and innovation in high growth, knowledge-based industries, providing business-support facilities for local technology companies and individuals and generating numerous local employment opportunities. Our clients had been granted planning permission by Birmingham City Council to build the Park in conjunction with one of the UK’s Top 10 universities and a leading quango. Our brief required seamless co-operation between the Jeffrey Green Russell Property and Town and Country Planning teams, and close consultation with the Planning Department of Birmingham City Council.
Property finance for Edgbaston
Jeffrey Green Russell acted on the refinancing of one of the UK’s oldest shopping centres in Birmingham’s Edgbaston area: the city’s new town centre. The sophisticated securitised lending structure drew primary funding from Barclays Bank and required the creation of an innovative ownership/leasehold arrangement. Jeffrey Green Russell acted for the land and property owner in what constituted a significant short-to-mid term retail venture and hotel development for the West Midlands.
Three-phase development at Burton-on-Trent town centre
Jeffrey Green Russell acted for the landowner and developer of an important retail development that is changing the face of Burton-on-Trent's town centre in three well-planned phases. The first phase attracted retail tenants including Matalan, JJB Sports, Mecca Bingo and a multi-screen cinema in new state-of-the-art premises: a first for the town. In Autumn 2003 a Certificate of Practical Completion was issued on the project's Phase 2, and Phase 3 follows. Since long before construction began the massive scale of the development generated numerous, complicated legal issues. Jeffrey Green Russell has been involved in every aspect of the scheme since its inception, including the original land acquisition, obtaining planning permission, subsequent planning, appointment of management positions, building contracts, letting of units and most recently the successful sale of the development to a major investment fund.
Redcar town centre rejuvenation
Jeffrey Green Russell acted for a well-known property investment company on its purchase of a stake in a major new town centre shopping development in Redcar, Cleveland. The site's location placed it in a "disadvantaged area" under UK legislation. The £18 million+ purchase required an innovative approach to deal structuring, the vendors consisting of a joint venture between the local authority and the original developer. The result was a substantial rejuvenation of Redcar's town centre, significant job creation and much improved opportunities for retailers and consumers.
