Buccleuch House, Hackney, London
Hanover in Hackney Ltd was set up as a subsidiary of the Hanover Housing Group following the transfer of nearly 1,000 homes from the local authority. The Associations’ primary mission is to ensure the older people of the Borough of Hackney gain access to appropriate affordable housing.
Peter Johnson, Simon Wade and Anna Rabin acted for Hanover In Hackney Ltd entering into a Development Agreement for the redevelopment of Buccleuch House in Hackney, London, a scheme being developed for both sale and rental purposes. The scheme involves the demolition of existing buildings on site and the construction of 106 residential apartments, including 12 affordable residential units, and a 46 bed Extracare Scheme.
Peter dealt with the overall contractual arrangements with the proposed developer, Simon dealt with all the title and related issues affecting the site where the freehold is divided between Hanover in Hackney and its developer and where further lease arrangements have been put in to place in respect of parts of the site. Anna dealt with the construction aspects of the scheme which involved settling the construction obligations in the development agreement and negotiating the forms of building contract, professional appointments and all associated warranties to be used by the developer with its contractor and consultants.
The Maltings, Wetmore Road, Burton on Trent
Anna Rabin acted for Hillarys Developments (No 5) LLP (a joint venture between Odin Estates Limited and Hillary’s Developments Limited) in respect of the re-development of The Maltings, Burton on Trent. The site comprises 3.8 acres and includes a 91,000 sq ft Grade II listed Maltings building together with surplus land for the construction of approximately 30,000 sq ft of B1, B2, B8 units.
Anna advised Hillary’s/Odin in connection with the preparation and negotiation of the suite of professional consultancy agreements and associated collateral warranties in favour of third parties and liaised with the project manager, Benchmark Property Limited, in respect of the completion of the JCT 1998 With Contractor's Design Standard Form of Building Contract used for the project.
The re-development works have included the refurbishment of the Grade II listed building's envelope to offer new office and industrial accommodation alongside the construction of 11 industrial/warehouse units on the remainder of the site.
New Endoscopy Centre at Celtic Springs, Wales
Community Healthcare Investments Limited is working with the Nucleus Healthcare group on the roll out of a series of Gastro-enterology and specialist centres of excellence across the UK. The concept is to move specialist services out of the traditional acute hospital setting into more suitable purpose-built facilities in the community providing state of the art services to both NHS and private patients.
Clive Whitfield-Jones and Anna Rabin acted for LR Healthcare Limited (a joint venture company between Community Healthcare Investments Limited and London & Regional Properties Limited) which is forward funding a £7 million project in connection with the endoscopy centre at Celtic Springs business park in Wales, which is the first such centre and is due for completion in mid-December. The facility is operated by a group of specialist consultants and will provide a variety of high-tech procedures and diagnostics.
The project will be developed in two phases. Phase 1 of the building is approximately 26,000 square feet, built over 2 floors and will provide 15 en-suite bedrooms, 2 endoscopy suites and 2 operating theatres. Phase 2 will allow the facility to effectively double in size according to future demand.
Clive dealt with a range of complex land and title issues in a transaction which will see LR Healthcare Limited being the long-term landowner and landlord of the site. Clive also dealt with the Agreement for Lease between LR Healthcare Limited and its tenant. Anna dealt with all the construction issues which involved negotiating the Development Agreement with the developer, assisting Clive with construction aspects of the Agreement for Lease and approving the form of Building Contract, Professional Team Appointments and the Warranties to be taken up in favour of LR Healthcare Limited and its tenant.
Facilities Management Agreement for Major High Street Retailer
Combining the expertise of our Construction and Engineering and Company and Commercial departments, Anna Rabin and Charles Gerada acted for T2, the company appointed to manage the tender and appointment process for the provision of facilities management services to and on behalf of a major high street retailer.This involved the preparation of an Invitation to Tender Document and a Facilities Management Consultant's Appointment, in respect of which the successful tenderer would be asked to carry out certain services. These included the management of preventative and reactive ongoing maintenance of all high street and superstore retail outlets, the provision of a telephone help desk, regional surveyors, an annual survey of each store, the management of capital projects funded through a maintenance budget and financial reporting.
4* Hotel at Stansted Airport
Anna advised on the construction documents comprising a building contract and consultants' appointments in respect of the Radisson 4 star hotel development at Stansted Airport on behalf of the landowner. This involved approving the terms of the construction documents to be entered into by the developer and negotiating the construction aspects of the agreement for lease. Various insurance issues were researched and dealt with to ensure the smooth running of the airport was unaffected.
Morfa Stadium, Swansea
Anna advised City & County of Swansea on the Morfa Stadium Development comprising the demolition of the existing athletic facilities, the building of the new stadium and the development of a retail and leisure park for an overall value of approximately £80 million. Anna dealt with the construction aspects of the development agreement entered into with the developer and oversaw the negotiation and completion of the building contract, professional appointments and third party warranties.
Privatisation of the Tube
Anna acted for the consortium which successfully bid for the Jubilee, Northern and Piccadilly lines of the Tube PPP, as part of a larger team. Anna's involvement centred around the negotiation of secondment contracts and direct agreements.
Forward Funding of Durham City Retail Park
Anna dealt with the construction aspects of the forward funding and development of Durham City Retail Park on behalf of the funder. This involved overseeing and approving the terms of the building contract (a JCT 98 With Contractor's Design) and consultants' appointments entered into by the developer, dealing with all associated bonds, guarantees and insurance issues, dealing with the novation of those consultants to be novated to the contractor and taking up all warranties in favour of the fund. Anna also advised on the construction aspects of the Development Funding Agreement. The development comprises 190,000 square feet of retail space including a B&Q superstore, eight other retail units and two fast food restaurants.
New Teaching Block and Dining Hall at School in Reading
Anna advised a school in Reading on the construction aspects of a development project to provide a new teaching block and an extended dining hall. The building contract used was an amended form of JCT 98 With Contractor's Design. The Appointments of a team of 5 consultants (one of whose appointment was novated to the contractor) were also negotiated and completed in relation to the development, together with associated warranties.
External Refurbishment of Shopping Centre in Doncaster
Anna dealt with the external refurbishment of the Waterdale Shopping Centre comprising a freestanding glazed canopy to form a centre-piece in the square in the central portion of Kingsgate, new cladding to the existing canopies at Kingsgate, enhanced lighting, new seating at the Centre and other cosmetic changes. The Centre comprises a substantial part of Doncaster City Centre with over 85,000 square feet of retail floor space and 403 car parking spaces. The site also includes 37 residential flats, over 29,000 square feet of leisure accommodation and 5,157 square feet of office accommodation. Works were carried out under an amended form of JCT 98 With Contractor's Design. Anna also dealt with the appointment of the professional consultants.
Development Works at College in Kent
Anna dealt with the Phase 1 development works at the College's Dartford and Gravesend campuses. Anna prepared the initial letters of intent prior to the letting of 6 separate building contracts, took up all associated bonds and parent company guarantees and completed the drafting and negotiation of the consultants' appointments and the taking up of all necessary warranties. The project was carried out under an ICE Minor Works Form of Building Contract, three JCT 98 Minor Works Agreements and two JCT 98 Private Without Quantities With Contractor's Design Portion Supplement, one of which incorporated phased completion. The works at Dartford included initial site operations in connection with drilling, grouting and stabilisation of the former chalk mine workings and disturbed ground, followed by the extensive alteration and extension of buildings and the fitting-out of others together with associated infrastructure works. A new nursery and baby care unit was also built. The works at the Gravesend Campus involved enabling works for the provision of a pre-fabricated nursery and baby care unit and car park extension works, the reconfiguration of the teaching space within the Technology Centre and the addition of a new construction workshop of approximately 6,700 square feet and associated external works.
Plant Replacement Schemes, Uxbridge
Anna dealt with 2 major plant replacement schemes, together valued at just under £1m, at an office block comprising 155,000 square feet in Uxbridge. The schemes, involved the replacement of the 15 year old roof mounted wet cooling towers with air-cooled units, and the enhancement of the back-up generator facilities to provide improved operating resilience to the existing large corporate occupiers. Anna was involved with the preparation and completion of the consultants' appointments and the building contracts for both projects. The contractor for the air-conditioning project was appointed under a JCT 98 With Contractor's Design, whilst the generator project was let under the less commonly used Joint IMechE/IEE (MF/1) Model Form of General Conditions of Contract.
Major Re-development Located in the Heart of the Pollen Estate
Anna advised a prominent development company in respect of its joint venture development project with a well known investment company. The JV companies are jointly developing 40,000 square feet of office and 12,000 square feet of retail space. The project involves the demolition and complete refurbishment behind the main Old Burlington, Clifford Street and Savile Row façades. The project started in spring 2005 with completion in mid 2007 and will have a total value of some £40 million. The project is a key element in the regeneration of Savile Row.
